5. Payment Terms

- Emergency support: Payable within 7 days of service completion
5.3 Late Payments
- Late payment charges of 2% per month may apply to overdue amounts
- WINBUZZ may suspend services for accounts overdue by 30+ days
- Legal action may be taken for severely delinquent accounts
6. Client Responsibilities
6.1 Information and Access
- Provide accurate and complete project requirements
- Grant necessary access to systems, accounts, and resources
- Respond to WINBUZZ communications within agreed timeframes
- Provide timely feedback and approvals
6.2 Content and Materials
- Provide all necessary content, images, and materials
- Ensure all provided content is legally owned or licensed
- Take responsibility for content accuracy and compliance
- Backup important data before WINBUZZ begins work
7. Intellectual Property
7.1 Client-Owned IP
- Clients retain ownership of their existing intellectual property
- Custom developments become client property upon full payment
- WINBUZZ retains rights to general methodologies and techniques
7.2 WINBUZZ-Owned IP
- WINBUZZ retains ownership of proprietary tools and frameworks
- Pre-existing WINBUZZ intellectual property remains our property
- Third-party licenses and software remain property of respective owners
8. Confidentiality

10. Limitation of Liability

11. Termination

- Clients may terminate projects with 30 days written notice
- Payment is due for all work completed up to termination date

11.2 Termination by WINBUZZ
- WINBUZZ may terminate for non-payment or breach of terms
- 30 days notice will be provided except for material breaches
- All outstanding amounts become immediately due
- Access to WINBUZZ systems may be suspended
12. Support and Maintenance

- Bug fixes and critical issues during warranty period
- Basic technical support via email and phone
- Minor updates and security patches
- Documentation and user training materials
12.2 Additional Support
- Extended support contracts available beyond warranty period
- Priority support with faster response times
