4.2 Project Scope

• Services will be delivered according to the agreed project scope
• Any changes to scope must be agreed upon in writing
• Additional costs may apply for scope changes
• WINBUZZ will communicate any necessary scope adjustments promptly

4.3 Timelines and Deliverables

• Project timelines are estimates based on current scope and requirements
• Delays may occur due to client feedback, scope changes, or unforeseen circumstances
• WINBUZZ will notify clients of any significant timeline changes
• Client cooperation and timely feedback are essential for meeting deadlines

5. Payment Terms

5.1 Pricing and Invoicing

• All prices are quoted in Indian Rupees (INR) unless otherwise specified
• Prices include applicable taxes unless mentioned separately
• Invoices will be sent via email and are due within the specified payment terms
• WINBUZZ reserves the right to update pricing with 30 days notice

5.2 Payment Schedule

• Project-based: Typically 50% advance, 50% on completion
• Milestone-based: Payments tied to specific project milestones
• Monthly retainer: Paid in advance each month
• Emergency support: Payable within 7 days of service completion

5.3 Late Payments

• Late payment charges of 2% per month may apply to overdue amounts
• WINBUZZ may suspend services for accounts overdue by 30+ days
• Legal action may be taken for severely delinquent accounts

6. Client Responsibilities

6.1 Information and Access

• Provide accurate and complete project requirements
• Grant necessary access to systems, accounts, and resources
• Respond to WINBUZZ communications within agreed timeframes
• Provide timely feedback and approvals

6.2 Content and Materials

• Provide all necessary content, images, and materials
• Ensure all provided content is legally owned or licensed
• Take responsibility for content accuracy and compliance
• Backup important data before WINBUZZ begins work

7. Intellectual Property

7.1 Client-Owned IP

• Clients retain ownership of their existing intellectual property
• Custom developments become client property upon full payment
• WINBUZZ retains rights to general methodologies and techniques

7.2 WINBUZZ-Owned IP

• WINBUZZ retains ownership of proprietary tools and frameworks
• Pre-existing WINBUZZ intellectual property remains our property
• Third-party licenses and software remain property of respective owners

8. Confidentiality

8.1 Mutual Confidentiality

• Both parties agree to maintain confidentiality of sensitive information
• WINBUZZ will not disclose client proprietary information
• Confidentiality obligations survive termination of the agreement
• Standard industry practices for data security will be followed

8.2 Portfolio and Case Studies

• WINBUZZ may showcase completed projects in portfolios
• Client consent will be sought for detailed case studies
• Sensitive business information will not be disclosed
• Clients may request to remain anonymous in portfolio presentations

9. Warranties and Disclaimers

9.1 Service Warranties

• WINBUZZ warrants services will be performed professionally
• Software defects will be corrected within reasonable time
• Warranty period is typically 90 days from project completion
• Warranties do not cover issues arising from client modifications

9.2 Disclaimers

• Services are provided "as is" without additional warranties
• WINBUZZ does not guarantee specific business outcomes
• Third-party software and services are subject to their own terms
• Internet and hosting stability are not guaranteed

10. Limitation of Liability

WINBUZZ liability is limited to:

• Direct damages not exceeding the total project value
• No liability for indirect, consequential, or punitive damages
• No liability for loss of profits, data, or business opportunities
• Force majeure events are excluded from liability

11. Termination

11.1 Termination by Client

• Clients may terminate projects with 30 days written notice
• Payment is due for all work completed up to termination date
• Deliverables completed will be transferred to client
• Termination fees may apply as specified in project agreement

11.2 Termination by WINBUZZ

• WINBUZZ may terminate for non-payment or breach of terms
• 30 days notice will be provided except for material breaches
• All outstanding amounts become immediately due
• Access to WINBUZZ systems may be suspended

12. Support and Maintenance

12.1 Included Support

• Bug fixes and critical issues during warranty period
• Basic technical support via email and phone
• Minor updates and security patches
• Documentation and user training materials

12.2 Additional Support

• Extended support contracts available beyond warranty period
• Priority support with faster response times
• Feature enhancements and major updates
• Regular health checks and performance monitoring

13. Data Protection and Privacy

• WINBUZZ complies with applicable data protection laws
• Client data will be processed according to our Privacy Policy
• Data backup and recovery procedures are implemented
• Security incidents will be reported promptly to affected clients

14. Force Majeure

WINBUZZ shall not be liable for delays or failures due to circumstances beyond our reasonable control, including:

• Natural disasters, pandemics, or government actions
• Internet outages, power failures, or technical infrastructure issues
• Labor strikes, supplier failures, or transportation disruptions
• Cyber attacks, security breaches affecting third-party services

15. Governing Law and Dispute Resolution

15.1 Jurisdiction

• These Terms are governed by the laws of India
• Courts in Mohali, Punjab have exclusive jurisdiction
• Indian law shall apply to interpretation and enforcement

• Disputes should first be addressed through direct negotiation

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. WINBUZZ and the client will work to replace any invalid provisions with valid alternatives.
